2. Description of the Service

Qorevia Study Organizer is a study and educational organization application designed to help users organize and study educational materials.

Depending on the features available in the App, the Service may allow users to:

• Upload or enter study materials and notes;
• Organize educational content;
• Generate quizzes;
• Generate flashcards;
• Generate summaries;
• Generate transcripts;
• Convert or process educational materials using artificial intelligence;
• Track or organize study activities; and
• Access other educational or productivity features that we may introduce from time to time.

We reserve the right to modify, add, suspend, or remove features of the App at any time.

3. AI-Generated Content

The App uses artificial intelligence ("AI") and third-party AI services to generate quizzes, flashcards, summaries, transcripts, explanations, study materials, or other content.

AI-generated content may contain errors, inaccuracies, omissions, or outdated information.

You understand and agree that:

• AI-generated content is provided for general educational and study-assistance purposes;
• AI-generated content is not guaranteed to be accurate, complete, current, or suitable for any particular purpose;
• You are responsible for reviewing AI-generated content before relying on it;
• The App does not guarantee that AI-generated content will accurately reflect your uploaded or entered materials;
• The App does not guarantee that using the Service will improve your grades, test scores, academic performance, or educational outcomes; and
• You should verify important information using reliable sources, course materials, instructors, textbooks, or other appropriate resources.

The App should not be considered a replacement for teachers, instructors, academic advisors, textbooks, or other qualified educational professionals.

4. User Accounts

Certain features may require you to create an account.

When creating an account, you agree to provide accurate and current information and to keep your account information updated.

You are responsible for:

• Maintaining the confidentiality of your account credentials;
• Maintaining the security of your account;
• All activity occurring through your account; and
• Notifying us promptly if you believe your account has been accessed without authorization.

You retain ownership of your User Content, subject to the rights you grant us under these Terms.

You represent and warrant that you have the necessary rights and permissions to upload, submit, or otherwise provide User Content through the App.

You must not upload or submit content that you do not have the right to use.

6. License to User Content

By submitting User Content to the App, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and use your User Content solely as reasonably necessary to provide, maintain, operate, secure, and improve the Service, subject to our Privacy Policy.

This license does not transfer ownership of your User Content to the Company.

We will handle personal information in accordance with our Privacy Policy.

7. Prohibited Uses

You agree not to use the App to:

We reserve the right to investigate suspected violations and take appropriate action.

8. Academic Integrity

Qorevia Study Organizer is intended to assist users with studying and organizing educational materials.

You are responsible for using the App in accordance with the rules and policies of your school, college, university, instructor, testing organization, or other educational institution.

We do not encourage or authorize users to use the App to engage in academic dishonesty, cheating, plagiarism, unauthorized collaboration, or other violations of academic integrity policies.

You are solely responsible for determining whether and how the App may appropriately be used for a particular assignment, examination, course, or educational activity.

9. Intellectual Property

The App and all associated software, designs, graphics, logos, trademarks, names, interfaces, features, text, and other materials provided by the Company are owned by or licensed to the Company and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

• Modify or create derivative works based on the App;
• Distribute or publicly display the App;
• Sell, rent, lease, sublicense, or otherwise commercially exploit the App; or

WE DO NOT WARRANT THAT:

• THE APP WILL ALWAYS BE AVAILABLE;
• THE APP WILL BE ERROR-FREE;
• THE APP WILL BE SECURE;
• AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE;
• TRANSCRIPTS WILL BE ERROR-FREE;
• QUIZZES OR FLASHCARDS WILL CONTAIN ALL RELEVANT INFORMATION;
• THE SERVICE WILL MEET YOUR PARTICULAR REQUIREMENTS; OR
• USE OF THE APP WILL RESULT IN ANY PARTICULAR GRADE, TEST SCORE, ACADEMIC RESULT, OR OTHER OUTCOME.

To the extent permitted by law, you use the App at your own risk.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO:

• YOUR USE OF OR INABILITY TO USE THE APP;
• YOUR RELIANCE ON AI-GENERATED CONTENT;
• ERRORS OR INACCURACIES IN QUIZZES, FLASHCARDS, TRANSCRIPTS, SUMMARIES, OR OTHER GENERATED CONTENT;
• QOREVIA STUDY ORGANIZER DOES NOT GUARANTEE ACADEMIC RESULTS;
• LOSS OR CORRUPTION OF USER CONTENT;
• UNAUTHORIZED ACCESS TO YOUR ACCOUNT;
• INTERRUPTION OR UNAVAILABILITY OF THE SERVICE;
• THIRD-PARTY SERVICES; OR
• ANY OTHER MATTER RELATING TO THE APP OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE COMPANY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

20. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your violation of another person's rights.

21. Account Suspension and Termination

We may suspend, restrict, or terminate your account or access to the App if we reasonably believe that you:

• Engaged in fraudulent activity; or

We do not guarantee specific academic outcomes, grades, test scores, or institutional performance. You acknowledge and agree that your academic results depend entirely on your own effort, understanding, and actions. To the maximum extent permitted by law, we shall not be responsible or liable for any low grades, academic failures, disciplinary actions, or loss of credit resulting from your use of our services.
